Collaboration with Shareholders and the Investment Community

In order to improve the Company’s performance and maintain its financial stability, OJSC MMC Norilsk Nickel is striving to build long-term confidential relations with shareholders and investors.

One of the main priorities of collaboration with this category of stakeholders is the timely provision of information on the Company’s activity and offering equal access to it. Shareholders and investors are informed of the Company’s current operating and financial indices, its strategies, visions of the situation in the metal markets, main corporate events, and other issues that are pertinent for making investment decisions. For this purpose, the Company regularly draws up an Annual Report, the quarterly reports of security issuers, and statements on important facts, with the subsequent placement of this information on the corporate website.

In 2013, a new service became available for shareholders who are natural persons registered in MMC Norilsk Nickel’s shareholders’ register—a Personal Shareholder’s Office. This service, which was organisers by the Joint-Stock Capital Department in cooperation with the Company’s Registrar, provides shareholders with free round-the-clock access to information about the number and value of the Company shares they own, dividends outstanding and paid, upcoming general shareholders’ meetings, and useful links and contacts; it also provides the opportunity to fill out document forms in advance for carrying out operations in the security owners’ register.

Collaboration with shareholders and investors on behalf of the Company is carried out by the Department for Work with the Investment Community. In 2013, the department held more than 350 meetings with shareholders and investors within the framework of efforts to ensure information transparency and satisfy professional interest in the Company’s activity, including:

  • over 280 meetings with the Company’s shareholders;
  • over 70 meetings with participants in the debt market;
  • 75 public statements by the Company’s management representatives, including the Director-General, at Russian and international investment conferences. Many similar events are accessible to all those who wished to participate via online transmission.

In 2013, four general shareholders’ meetings were held, including one Annual Meeting and three special meetings.

OJSC MMC Norilsk Nickel fully adheres to the requirements of Russian legislation in its relations with shareholders and investors and strives to meet the generally accepted world standards.

The Company maintains share circulation on the Moscow Stock Exchange by regularly providing information and presenting documents in keeping with the requirements of the stock exchange’s listing.
